本文介紹企業面臨國際私法案件之審查流程，而以圖表及文字逐一分析各 階段審查之重點，並佐以案例說明許多業者僅專注於案件之民事實體層面，而 忽略其國際層面，故企業涉外民事法律案件之法務團隊，宜有專人負責國際私 法部分之審查與決策，其責任重大，足以影響投入資源是否有效運用，以及程 序之勝敗，甚至攸關企業命運存亡。而負責此項業務者，宜同時具備各種企業 法律與國際私法之雙重背景知識，並予融通，始能克盡職責。本文另介紹企業 所容易面臨之各項國際私法議題、所涉之國際私法及其國際趨勢，俾利為擬具 國際私法策略之參考，以順利達成企業國際訴訟或非訟之目標。而本文所介紹 之企業國際私法，期能對基於私經濟地位之政府採購部門，亦具參考價值。

This paper discusses the procedure of reviewing a civil case which involved foreign elements an enterprise will usually encounter. I analysis all the points with charts and words step by step. I argue with real cases that many enterprises focus merely on the substantial aspect of a civil case but ignore the international aspect of it. Therefore, a legal team has better include specialists on reviewing and determining private international law matters while serving an enterprise on civil cases with foreign element. Such specialists bearing heavy burdens will decide the efficiency of all the resources and the result of all the actions. They can even influence the life and death of an enterprise. For the best of their works, they must be very familiar with private international law, all kinds of laws regarding an enterprise and the connections between them. This paper also introduces many private international law topics which an enterprise is likely to encounter .The private international law problems involved and their international tendencies will also be introduced. I hope all those introductions can be a reference for the decision makers in an enterprise to plan strategies.
