「行政法人」係我國屬一全新行政組織型態之概念，其本質係採非傳統行政機關之組織形式，並引入企業式經營理念：「降低成本」及「提升效率」，而提供具高度專業性之公共服務或執行公共任務。為達此一目的，我國制定專法使行政法人不受現行政府機關繁雜之人事、財務及採購等制度之規範。
然而，行政法人之組織型態係屬公法人之一種，且其年度預算亦大多來自國家公務 預算直接挹注或補助，惟依《行政法人法》第37 條規定，僅於符合《政府採購法》第4 條之情形，即行政法人接受政府補助辦理採購時，其補助金額占採購金額半數以上，且 補助金額在公告金額以上者，始有該法之適用，其餘採購則無該法之適用。
基此，行政法人與投標廠商間因採購爭議所為之押標金不予發還或追繳之性質為何？是否僅屬私經濟行為之私法性質？或有不同之見解？此攸關廠商救濟途徑之選擇。本文試先分析《政府採購法》中押標金不予發還或追繳之性質，再就行政法人之上述行為加以探究。

Non-Departmental Public Bodie (NDPB)are new type of administrative organization. Unlike traditional concept, it adopts the concept of business management: reducing the cost and lifting efficiency. It renders more professional service to the public. For the reasons, parts of regulations of Government Procurement Act (GPA), e.g. personnel, finance and procurement etc. don't apply to NDPB.
However, NDPB is a kind of legal person of public law, and its annual budget comes from government. In addition, according to Non-Departmental Public Bodies Act (NDPBA), article 37 II provides:”GPA is not applicable to the procurement prescribed in the preceding paragraph, except for the circumstance set forth in Article 4 of that Act.”
Therefore, when disputes arise between NDPB and manufacturers, how to define the nature of the decisions made by NDPB ? The answers to the question is of crucial important to manufacturers, because different answers would lead to varies of remedy. This paper firstly probes the nature of confiscation and collection of bid bonds, and subsequently focus on the tender documentation of National Chung-Shan Institute of Science and Technology.
