併購是企業投資的一項重要策略,本研究針對中小型企業對越南投資與併購行為進行研究,主要在探討併購整合與經營績效之關係,並且針對異文化管理對併購整合與經營績效之干擾情況進行分析。本研究使用SPSS統計軟體來進行分析,以台灣曾在越南進行併購之中小型企業,作為本研究調查與分析之母體。透過問卷調查的方式,共寄出276份,實際可用之問卷為83份,有效回收率達30.07%。研究發現企業併購整合(組織任務整合、人力資源整合)與其經營績效皆有顯著的相關,且異文化管理對企業併購的組織任務整合與經營績效也具有明顯干擾效果,惟異文化管理對人力資源整合與經營績效之干擾效果僅獲得部份的支持。

英文摘要

Mergers and acquisitions are important tactics to meet the expectation of enterprises. Focused on the investments and mergers and acquisitions of Taiwan in Vietnam and analyzing the relationship between the proceeding mergers and the effects of corporative management, this research presents a discovery of a positive connection between the procedure of mergers and the operating performance. This research uses SPSS as the major software, taking the performances in Vietnam of small sized enterprises from Taiwan as the population parameter. In the mailing of 276 copies of questionnaires, 83 effective copies are retrieved, and the effective rate of retrieve is 30.07%. This research presents a discovery of a positive connection between the procedure of mergers and the operating performance. Furthermore, the cultural difference indeed interferes the mission managements of mergers and acquisitions, for the managements of a different culture partially contribute to the effects of such interfering.
